Special Business
Resolution: Extension Proposal
To consider, and if in favour, to pass the following Special Resolution:
- ‘For the purposes of clause 16.2 of the Note Trust Deed and clause 11.2 of the Note Terms, the Noteholders:
- consent to and approve the amendments to the Note Trust Deed and Note Terms detailed in the Explanatory Notes;
- authorise the Company and the Trustee to amend the Note Trust Deed and Note Terms as detailed in the Explanatory Notes;
- consent to the Company and Trustee executing any supplemental deed embodying such modifications and to enter into any and all documents necessary, to give effect to the matters in paragraphs (a) and (b) above; and
- authorise the Registrar to take such steps as are necessary, to give effect to the matters in paragraphs (a), (b) and (c)’
