Company Update — Flagship Investments Limited (ASX: FSI)
Flagship Investments Limited (ASX: FSI) noteholders met on 7 September 2026 for the FSIGA Noteholder Meeting, where the Extension Proposal, known as the Note Rollover, was carried on a poll with clear majority support: 3,182,092 votes in favour versus 470,563 against, approximately 87 per cent of votes cast.
The Note Rollover amends the terms of the Note Trust Deed and Note Terms governing FSI’s existing convertible notes, quoted on ASX under the ticker FSIGA and first issued on 1 October 2021. With the Rollover approved, the maturity date of these notes has been extended to 1 October 2030, and the interest rate payable increases to 7.25 per cent per annum from 1 October 2026, with a further step-up possible from 1 October 2028. For the avoidance of doubt, the Company will not be issuing new convertible notes.
For shareholders, the outcome reflects the same discipline that underpins FSI’s broader approach to capital management. Rather than raising fresh capital through a new note issue, the Board’s preference has been to work within the Company’s existing capital structure, on terms noteholders have now endorsed. This keeps FSI’s cost of capital efficient and avoids unnecessary dilution, consistent with the investor-first philosophy that has guided the Company since inception.
